The late fee clause

State the structure (flat, percentage, or both), the rate, whether it is prorated by day or charged for any part of a month, and the grace period. The "whichever is lower" wording, which InvoiceMonk uses in its sample block, caps the fee at what your state allows without naming a figure. Deposit and pause-work clauses

A deposit moves the risk to before the work starts. A pause-work clause stops the hole getting deeper once a client is late. Contractors and freelancers who have been burned tend to use both and rely on the late fee less.

How much to ask for

Common practice is 25% to 50% of the quoted total for project work, or the cost of materials plus a day's labor on trade jobs, so that a client who walks away has covered your outlay. New clients get the higher end; long-standing clients often get none. Say the percentage or amount in the quote, not only on the invoice.

How to invoice a deposit

Send a first invoice for the deposit alone, marked "Deposit, due before work begins", with the quote number as the reference. When the job is finished, the final invoice lists the full total, then "Deposit received" as a negative line, then the balance due. The invoice builder has an "Amount already paid" field that prints exactly that. A deposit is not a late fee and does not need a state cap; it is simply part of the price paid early.

Ownership until paid

For design, writing, software, and similar work, this clause keeps the deliverables yours until the invoice clears. It is a strong lever, so use it deliberately and say it plainly.

A short window (7 to 14 days) to raise questions in writing keeps disputes from surfacing at day 60. It also makes "I never agreed to that" harder to claim later.
